Terms & Conditions – SkillUp Subscription Plans

Effective Date: August 30, 2025

1. Introduction

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Student,” “User,” or “You”) and SkillUp (“SkillUp,” “We,” “Us,” or “Our”) regarding your enrollment in and use of SkillUp’s online English learning subscription plans (the “Services”). By purchasing, enrolling in, or using any of the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Subscription Plans

2.1 SkillUp offers subscription-based access to live online English classes, with plans permitting attendance at either two (2), three (3), or four (4) classes per week.
2.2 Enrollment in a subscription plan entitles you to attend only the number of classes specified under your selected plan.
2.3 Class days are chosen by you at the time of enrollment. Unused classes do not roll over to subsequent weeks.

3. Payments and Billing

3.1 All subscription fees are payable in advance and will be charged automatically on a recurring basis (monthly or as otherwise specified at the time of purchase).
3.2 Payments are processed securely through third-party providers (e.g., Stripe). SkillUp does not store full payment card details.
3.3 It is your responsibility to maintain accurate and up-to-date billing information.

4. Cancellations and Refunds

4.1 Subscriptions renew automatically unless canceled before the next billing date.
4.2 You may cancel your subscription at any time via your SkillUp account dashboard.
4.3 Refunds will not be provided for unused classes, missed sessions, or partial subscription periods.
4.4 Refund requests due to exceptional circumstances (e.g., medical emergencies) may be reviewed at SkillUp’s sole discretion.

5. Class Attendance and Access

5.1 Access to live classes is provided exclusively through your private student dashboard.
5.2 Class links are non-transferable and may not be shared.
5.3 Students are expected to attend classes on time. Missed classes cannot be rescheduled or refunded.
5.4 Any class recordings (if provided) are for your personal use only and may not be distributed or reproduced.

6. Student Responsibilities

6.1 You are responsible for ensuring you have a stable internet connection, compatible device, and access to Zoom in order to participate.
6.2 You must conduct yourself respectfully during all classes. SkillUp reserves the right to suspend or terminate your access, without refund, for disruptive, abusive, or inappropriate behavior.
6.3 Sharing accounts or granting unauthorized access to third parties is strictly prohibited and may result in termination without refund.

7. Modifications to Services

7.1 SkillUp reserves the right to modify class schedules, instructors, or course content at any time.
7.2 We may change or discontinue subscription plans, provided that reasonable notice is given to existing subscribers.

8. Intellectual Property

8.1 All class materials, lesson content, recordings, and related resources provided by SkillUp are the intellectual property of SkillUp.
8.2 You may use such materials only for your personal learning. Copying, sharing, distributing, or reproducing materials without permission is strictly prohibited.

9. Termination of Access

9.1 SkillUp may suspend or terminate your subscription if you:

  • Fail to make payment,

  • Breach these Terms, or

  • Engage in inappropriate or harmful behavior.
    9.2 Upon termination, you will lose access to your student dashboard, classes, and materials.

10. Limitation of Liability

10.1 To the fullest extent permitted by law, SkillUp shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Services.
10.2 SkillUp is not responsible for technical failures on your part, including internet connectivity, device issues, or software malfunctions.
10.3 While SkillUp strives to provide high-quality instruction, no guarantees are made as to specific learning outcomes or results.

11. Indemnification

You agree to indemnify, defend, and hold harmless SkillUp, its instructors, employees, and affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Services or any breach of these Terms.

12. Use of Images and Recordings for Marketing

12.1 SkillUp may capture images, video, or audio recordings during live online classes for marketing and promotional purposes (including, but not limited to, use on SkillUp’s website, social media, and advertising materials).
12.2 By enrolling in the Services, you grant SkillUp the right to use such recordings that may include your image, likeness, voice, or class participation.
12.3 If you do not wish to be included in marketing materials, you may opt out by providing written notice to info@skillupU.com, and SkillUp will make reasonable efforts to accommodate your request.
12.4 Educational class recordings provided to students are not used for marketing without explicit consent.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada and the Province of Ontario. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada.

14. Amendments

SkillUp reserves the right to update or amend these Terms at any time. Any changes will be posted on our website, and continued use of the Services after changes are posted shall constitute acceptance of the revised Terms.

SkillUp relies on your consent, the necessity of fulfilling our contractual obligations (providing classes and services), and legitimate business interests as legal bases for processing your data.

9. Children’s Privacy

Our Services are not directed toward children under 13. We do not knowingly collect personal information from children under 13. If you believe we have inadvertently collected such data, please contact us immediately.

10. Use of Images and Recordings for Marketing

10.1 From time to time, SkillUp may capture images, video, or audio recordings during live online classes for marketing and promotional purposes (including social media, website content, and advertising).
10.2 By enrolling in our Services, you grant SkillUp a non-exclusive, worldwide, royalty-free license to use such images and recordings that may include your likeness, voice, or participation.
10.3 If you do not wish to appear in marketing materials, you may notify us in writing at info@skillupU.com, and SkillUp will make reasonable efforts to exclude you from future promotional content.
10.4 Class recordings provided for educational purposes are not used for marketing without explicit consent.

11. Changes to This Privacy Policy

SkillUp may update this Privacy Policy from time to time. Any changes will be posted on our website, and the “Effective Date” will be updated accordingly. Continued use of the Services after changes are posted constitutes acceptance of the revised Privacy Policy.

SkillUp Digital Product Policy

SkillUp (“SkillUp,” “We,” “Us,” or “Our”) provides access to live online English classes, class recordings, and digital learning materials (collectively, “Digital Products”). This Digital Product Policy explains your rights, responsibilities, and rules related to accessing, using, and sharing our Digital Products. By purchasing, enrolling, or using our Digital Products, you agree to comply with this Policy.

1. Access & Delivery

1.1 Access to Digital Products is provided through your private SkillUp student dashboard.
1.2 Students generally receive access after payment confirmation or enrollment approval; please allow up to 7 days for access to be granted.
1.3 Access is subscription-based according to your plan (2x, 3x, or 4x weekly classes).
1.4 Class recordings or downloadable materials are for personal use only and may not be shared, copied, or distributed without explicit permission.

2. Usage Rights

2.1 You are granted a non-exclusive, non-transferable, personal license to use Digital Products for your own learning purposes.
2.2 You may not:

  • Share access credentials with others

  • Redistribute recordings or materials

  • Use materials for commercial purposes without written consent

3. Payments & Subscriptions

3.1 Subscription fees are charged in advance and may be recurring, depending on the plan selected.
3.2 You are responsible for maintaining accurate billing information.
3.3 SkillUp reserves the right to suspend access for non-payment or fraudulent activity.

4. Refunds & Cancellations

4.1 Digital Products are non-refundable except in exceptional circumstances (e.g., verified technical issues preventing access).
4.2 Unused classes or materials do not roll over to subsequent subscription periods.
4.3 Refund requests must be submitted in writing to info@skillupU.com and are evaluated at SkillUp’s sole discretion.

5. Intellectual Property

5.1 All Digital Products, including class recordings, lesson materials, and course content, are the intellectual property of SkillUp.
5.2 Students are granted a license to access and use Digital Products for personal learning only.
5.3 Unauthorized sharing, copying, or commercial use of Digital Products is strictly prohibited and may result in legal action.

6. Marketing & Promotional Use

6.1 SkillUp may capture images, video, or audio during live classes for marketing purposes (social media, website, or advertising).
6.2 By enrolling, you grant SkillUp a non-exclusive, worldwide, royalty-free license to use your likeness or participation in such marketing materials.
6.3 You may opt out by contacting info@skillupU.com, and SkillUp will make reasonable efforts to exclude you from promotional content.
6.4 Class recordings provided for educational purposes are not used for marketing without explicit consent.

7. Technical Requirements & Support

7.1 Students are responsible for providing the necessary internet connection, device, and software to access Digital Products.
7.2 SkillUp provides technical support for access issues but is not liable for failures caused by student equipment, software, or connectivity.

8. Updates & Modifications

8.1 SkillUp may update or modify Digital Products, including class content, recordings, or materials, at any time.
8.2 Students will be notified of major changes via email or dashboard updates.
8.3 SkillUp may remove Digital Products if they are no longer offered or updated, with reasonable notice.

9. Limitation of Liability

9.1 SkillUp is not responsible for indirect, incidental, or consequential damages arising from your use of Digital Products.
9.2 SkillUp does not guarantee specific learning outcomes.
9.3 Technical failures outside SkillUp’s control (internet, device, software) are not the company’s responsibility.

10. Governing Law

This Digital Product Policy is governed by the laws of Canada, Province of Ontario. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada.

SkillUp Return & Refund Policy

Effective Date: August 30, 2025

SkillUp (“SkillUp,” “We,” “Us,” or “Our”) provides live online English classes, class recordings, and digital learning materials (collectively, “Digital Products”). This Return & Refund Policy explains your rights and our practices regarding cancellations, refunds, and returns.

1. No Physical Returns

1.1 All SkillUp products are digital or online services. As such, physical returns do not apply.

2. Refund Eligibility

2.1 SkillUp generally does not provide refunds for:

  • Missed or unused classes

  • Partially used subscriptions

  • Changes of mind

2.2 Refunds may be considered only under exceptional circumstances, including:

  • Verified technical issues preventing access to your subscription or classes

  • Errors in payment processing by SkillUp

2.3 Refund requests must be submitted in writing to info@skillupU.com within 7 days of the issue. Each request is evaluated at SkillUp’s discretion.

3. Subscription Cancellations

3.1 You may cancel your subscription at any time via your SkillUp dashboard.
3.2 Cancellation will prevent future billing but does not provide refunds for past or unused classes.

4. Class Access Delays

4.1 Students are generally granted access after payment confirmation or enrollment approval, which may take up to 7 days.
4.2 Delays in access due to technical issues or processing will be considered for refunds on a case-by-case basis.

5. Exceptional Circumstances

5.1 Refunds or partial credits may be considered for extraordinary situations such as:

  • Medical emergencies

  • Verified technical failures outside the student’s control

5.2 SkillUp reserves the right to request supporting documentation before processing any refund.
